My understanding is you'd have to replace the top end essentially as the pre 99 motors were GEMS motors and the D2s had the Bosch motors. Mainly different intakes and ECU but I can't confirm the blocks are the same.

so I've got a few options
1 '2002 used guarantee 5 year or 50,000 miles must put on all extremities ie ac,power steering etc etc. around $1400 for engine ( 70,000 miles) steam cleaned and compression tested, $1800 for swap including new gaskets ie. valve covers rear seal etc etc.
2 The above mentioned '96 engine $600. (159,000 miles) for engine and I imagine the same for labor for swap out.
Any reason not to do the guaranteed engine, from reading it seems that the 2002 model year had a better motor in general just wondering if the older heads or block were better?
Not a mechanic but understand!
Thanks in advance for your time and opinions.

The blocks are NOT 100% the same.

Sensor mounts are different, specifically the crank and cam sensors. Timing chains and sprockets are different and need to be converted. All the ancillary parts need to be swapped from the bosch to the GEMS motor.

Definitely doable, but it takes some knowhow

@Stephen Novak All era's of the V8 from the 3.8 up have potential issues, this biggest problem is a cracked block which could happen to any generation of engine.

Having said that if they guarantee the block go with 2002, that gives you a bit peace of mind. If not it is a roll of the dice either way, on the 96 you replacing the lower intake and up.

+1
Get the 02
It'll cost you twice that to do a full rebuild.

Default Engine swap, am I forgetting anything?

Am I forgetting anything?
front seal
rear seal
valve cover gaskets
new water pump
oil pan gasket (kit)?
new radiator
new bottom radiator hose
soft spring thermostat

Already have
new top hoses
power steering pump
steering box
power steering reservoir

Anything else I should check or do while motor is out.
Have I read about oil filter or pump?
Anything about AC?
Newer motor has about 70,000 miles on it with 5 year 50000 mile warranty
thanks in advance!
Owning an older Land Rover is like having a girlfriend you can't afford!

Yes,
Cruciform seals(2, and they go in the rear main cap), also, buy BearMach brand(around $10), as they are a better design than Allmakes brand.
Rod and main bearings are about $70
Timing chain is about $30
All worth doing while the engine is out, but can all be done with it in.
The rear cam bearing Cannot be done with the engine in the truck. And if the rod and main bearings are worn(most likely), then the cam bearings probably are too.
If you do cam bearings, you'll also need the rear cam plug(looks like a big freeze plug, $2)
A stock cam and bearings are $140 ish.
Aftermarket cam, around $250, finished bearings, about $150.
And some change for a new oil pickup tube o-ring
