It all depends on how much patience you have and how much money you are really willing to spend. If this is going to be your only car then I would run away. If you like a challenge then I say buy it. You could always part it out and make some money off it. I would offer less than he is asking though. The gear box fault could very possibly mean you will need a new transmission, not definate but a possibility to consider. If you are willing to do the work you should be able to find one for around $650-$1,000. The battery could be causing the locking of the security system, chasing that one down could take forever and a good deal of money.
If that has not scared you then there are plenty of other things that will go wrong with it after you fix it to keep you busy. I hope that helps a little to make your descision.

I am BEGGING you, PLEASE don't buy it. WALK AWAY. RUN AWAY. A wise piece of advice a Rover expert once gave me was "a cheap Rover is someone else's nightmare". If those are the known problems, there are CERTAINLY many more unknown problems. I owned a 2000 4.6 HSE. I bought it almost new, and sold it last month with only 89,000 miles for $7,500 after spending MANY times that on repairs throughout the years. I kept my vehicle absolutely mint and maintained by the books, but things would fail inexplicably, and at innoportune moments. A few times, I was driving home from the dealership after getting one problem fixed, when another would occur! Also keep in mind how much routine maintenance items like brakes cost. Tires are $1000. Ball joints are chewed up and spit out every 25,000-30,000 miles at 800 bucks a pop. My advice is, if you MUST have a P38, buy the absolute MINTEST model you can find, because even that one is going to be fairly catastrophic to own. If you are diligent on cars.com and autotrader, you will see that none of these are selling. The market is flat because people know what crap they are, so you can obtain a low mileage example for silly money. A lot of car for the money, but it will never ever be running or functioning at 100% and something will always need doing.
Try to see if you can get it started and take it for a drive, that will tell you a lot about it. Gearbox fault could just be a loose sensor. Since I have had mine, I haven't had really any issues come up other than the ones I knew about. My jaw would drop when I was quoted by mechanics for the repairs until I found that I can do them for about 85% less myself and it is often times not to difficult.
