Ok on the NJ MVC web page it says the only things they check for are 1-Noise 2-Leaks and 3-Tampering-Catalytic Converter. Would removing the resonator cause it to fail any of these?

Correct me if I'm wrong here...Thats a Mighty Nice looking set of Goodyear MT/R's, they still have the little anti swerve push rods on them . And Along with water backing up the exhaust if the engine is stalled in deep water I was always told that due to the cooling process if it is not removed from the water in short orderand you have any gasket or machining flaws - as the engine cools it will draw the water in past these flaws, or is that old school? I started off-roading in mid 70's, my first machine was an FJ 40 of which I've owned three.

Sounds like you would be alright. The rules are specifically vague to allow inspectors to make their own judgments. Other than emissions, passenger safety is the next most important factor.

Cheers,
